We will learn benchmarking, relative performance evaluation, and how companies measure performance. The course concludes with the discussion of corporate governance, the modern structure of corporate boards, and director compensation. This course combines fundamental management theories such as principal-agent models, adverse selection, and optimal contracting, with hands-on practical experience that requires students to read and study governance and executive compensation reports from the world’s largest and most prominent corporations.
