The goal of this course and research program is to introduce students to the most important modern topics in the field of organizational economics and corporate management. We will start the course by discussing the key aspects of organization architecture, design, incentive conflicts and contracts. We will then study labor markets for top managers and discuss how firms attract and retain key employees. One of the key learning objectives of this part of the course is to understand how firms use incentive compensation. We will learn how CEOs of largest firms get compensated. The course proceeds with the introduction to performance evaluation – one of the core aspects of modern management of corporations. We will learn benchmarking, relative performance evaluation, and how companies measure performance. The course concludes with the discussion of corporate governance, the modern structure of corporate boards, and director compensation. This course combines fundamental management theories such as principal-agent models, adverse selection, and optimal contracting, with hands-on practical experience that requires students to read and study governance and executive compensation reports from the world’s largest and most prominent corporations.
